Terms of Service

By accessing or using the WealthSight platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you may not access or use the Service.

WealthSight provides an AI-powered variance analysis platform designed for FP&A (Financial Planning & Analysis) teams. The Service includes:

• AI-assisted variance analysis of financial data • File upload and processing (Excel, CSV formats) • Automated commentary and report generation • Data visualization and charting • Session history and report management • Team collaboration features (as available)

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

**Registration.** You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

**Account Security.** You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

**Account Termination.** We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for an extended period (12+ months). You may delete your account at any time through the Settings page or by contacting support.

**Free Tier.** WealthSight offers a free tier with limited monthly usage (50 messages per month). No payment information is required for the free tier.

**Paid Plans.** Paid subscriptions are billed monthly through Stripe. Your subscription will automatically renew unless cancelled before the renewal date.

**Pricing Changes.** We may adjust pricing with 30 days' advance notice. Existing subscriptions will be honored at their current rate until the next renewal period.

**Refunds.** We do not offer refunds for partial months of service. If you cancel your subscription, you will retain access until the end of your current billing period.

**Failed Payments.** If a payment fails, we will attempt to charge the payment method on file up to 3 times. After repeated failures, your account may be downgraded to the free tier.

You agree not to use the Service to:

• Upload malicious files, malware, or content designed to exploit our systems • Attempt to gain unauthorized access to other users' accounts or data • Reverse-engineer, decompile, or disassemble any part of the Service • Use automated tools (bots, scrapers) to access the Service beyond provided APIs • Circumvent usage limits, rate limiting, or other technical restrictions • Upload content that violates applicable laws or third-party rights • Use the Service for money laundering, fraud, or other illegal financial activities • Resell, sublicense, or redistribute the Service without our written consent • Interfere with or disrupt the Service's infrastructure or other users' access

We reserve the right to investigate and take appropriate action against any violations, including account suspension or termination.

**Your Data.** You retain all ownership rights to the financial data you upload to the Service ("Your Data"). We do not claim any ownership interest in Your Data.

**License to Us.** By uploading data, you grant us a limited, non-exclusive license to process, analyze, and store Your Data solely for the purpose of providing the Service to you. This license terminates when you delete Your Data or close your account.

**AI-Generated Content.** Analysis results, reports, and commentary generated by our AI based on Your Data are provided for your use. You may use these outputs for your internal business purposes.

**Our Intellectual Property.** The Service, including its design, code, algorithms, branding, and documentation, is owned by WealthSight and protected by intellectual property laws. Nothing in these Terms grants you any right to our intellectual property except as explicitly stated.

**Not Financial Advice.** The AI-generated analyses, reports, and commentary provided by WealthSight are informational tools designed to assist your FP&A workflows. They do not constitute financial advice, auditing services, or professional accounting opinions.

**Accuracy.** While we strive for accuracy, AI-generated outputs may contain errors, omissions, or inaccuracies. You are responsible for reviewing and validating all outputs before relying on them for business decisions.

**Human Oversight.** The Service is designed to augment—not replace—human financial analysis. We recommend that all AI-generated content be reviewed by qualified finance professionals before use in official reports or decision-making.

We treat all financial data you upload as confidential information. We will not disclose Your Data to third parties except:

• As necessary to provide the Service (e.g., processing via AWS Bedrock) • With your explicit consent • As required by law, regulation, or valid legal process • To protect the rights, property, or safety of WealthSight, our users, or the public

Our employees and contractors who access Your Data are bound by confidentiality agreements and access is limited on a need-to-know basis.

We target 99.9% uptime for the Service, excluding planned maintenance windows. Planned maintenance is scheduled during off-peak hours with advance notice when possible.

We are not liable for service interruptions caused by:

• Force majeure events (natural disasters, pandemics, government actions) • Third-party service outages (AWS, Stripe, internet service providers) • DDoS attacks or other malicious activity beyond our reasonable control • Scheduled maintenance performed with reasonable advance notice

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

**WealthSight shall not be liable for any indirect, incidental, special, consequential, or punitive damages**, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

**Our total aggregate liability** for all claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

**These limitations apply** regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless WealthSight, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of:

• Your use of the Service in violation of these Terms • Your violation of any applicable law or regulation • Any data you upload that infringes third-party rights • Your negligent or wrongful acts or omissions

We may modify these Terms at any time. Material changes will be communicated via email and/or prominent notice on the Service at least 30 days before they take effect.

Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree with the changes, you must stop using the Service and may close your account.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English and the seat of arbitration shall be Delaware.

Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

**Entire Agreement.** These Terms, together with our Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and WealthSight.

**Severability.** If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

**Waiver.** Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

**Assignment.** You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
